1.About these Terms
These Terms of Service (the “Terms”) are an agreement between you and Globba Technologies Limited (“Globba”, “we”, “us”, or “our”), a company incorporated in Nigeria with registration number RC9856238 and its registered office at Plot 75, Jubilation Bethel Estate, Lokogoma, Abuja, FCT, Nigeria.
They govern your use of globbapay.com, the GlobbaPay Personal app, the GlobbaPay Business dashboard, our APIs and developer documentation, and any related services we provide (together, the “Services”). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Services.
If you use the Services on behalf of a business, “you” means both you and that business, and you confirm that you are authorised to accept these Terms on its behalf.
2.What GlobbaPay is
Globba Technologies Limited is a technology company that develops digital platforms and software solutions for individuals and businesses. GlobbaPay is one of our products: a digital payments platform that gives users and businesses a simple and secure way to access payment services through our integrated financial and payment partners.
Globba is not a bank and does not itself accept deposits. Regulated services made available through GlobbaPay, such as accounts, payment collection, transfers, currency conversion, cards, and digital dollar deposits, are provided by financial and payment partners that hold the licences required in the relevant market. Some of these services may be subject to additional terms from the partner that provides them. We will show you those terms before you use the service. Where a partner’s terms conflict with these Terms, the partner’s terms apply to that service.
Features and availability vary by country and by the level of verification on your account. Not every feature described on our website may be available to you yet.
3.Who can use GlobbaPay
To use the Services you must:
- be at least 18 years old and able to enter into a binding contract;
- not be located in, or ordinarily resident in, a country or territory subject to comprehensive sanctions, and not be a person named on a sanctions list;
- provide information that is true, accurate, current, and complete, and keep it up to date; and
- for business accounts, be a duly registered business acting through an authorised representative.
We may decline to open an account, or limit the Services available to you, where we are required to by law or by our partners, or where we cannot satisfactorily verify your identity or your business.
4.Identity verification
We, our partners, and our identity verification providers must verify who you are before you can use certain Services, and must keep monitoring accounts afterwards. This is sometimes called “know your customer” (KYC) for individuals and “know your business” (KYB) for businesses. Verification may include:
- checking your name, date of birth, and identity numbers (such as a BVN or passport number) against official and third-party records;
- checking your government-issued identity documents for authenticity;
- a selfie and liveness check, and comparing your selfie with the photo on your identity document;
- checking your proof of address;
- for businesses, verifying company registration details, directors, and ultimate beneficial owners;
- screening against sanctions, politically exposed persons (PEP), and adverse media lists, both at onboarding and on an ongoing basis; and
- fraud, duplicate-identity, and other risk checks.
Your account may have limits that depend on the level of verification you complete. We may ask for more information or documents at any time. If you do not provide them, we may limit, suspend, or close your account. Our Privacy Policy explains how we handle the information collected during verification.
5.Your account and security
You are responsible for keeping your password, transaction PIN, one-time codes, and any two-factor authentication method confidential, and for all activity on your account. Never share them with anyone, including anyone claiming to be from GlobbaPay. We will never ask for your password or PIN.
If you think your account has been accessed without your permission, or your credentials have been compromised, contact us immediately at hello@globbapay.com. We may ask you to sign in again or confirm your identity before sensitive actions.
Business account owners and administrators decide who joins their team and what each person’s role allows. The business is responsible for the actions of its team members and for everything done with its API keys.
6.Payments and transactions
Before you confirm a transaction, we show you the amount, any fees, the exchange rate where one applies, and the expected arrival time. When you confirm, you authorise the transaction on those terms.
- You are responsible for giving correct recipient details. Money sent to incorrect details may not be recoverable, although we will make reasonable efforts to help.
- Arrival times are estimates and can depend on partners, recipient banks, networks, and compliance checks.
- We or our partners may delay, hold, reverse, or decline a transaction where required by law, for fraud prevention, or for compliance review. The law may prevent us from telling you the reason.
- Transaction and balance limits apply and may change based on verification level, risk, law, or partner requirements.
7.Fees and exchange rates
Fees and exchange rates are shown before you confirm each transaction. A quoted exchange rate is guaranteed only for the period shown with the quote. We may change our fees for future transactions. Where a change affects an ongoing arrangement, we will give you notice before it takes effect.
Business pricing may be set out in a separate order form or agreement. Where it is, that pricing applies instead of our standard fees.
8.Digital dollar deposits
Where available, you may deposit supported US-dollar stablecoins on supported blockchain networks. These deposits are credited to your US dollar balance one to one, less any fee shown to you.
- Only send supported assets, on the network shown, to the deposit address shown in your account. Assets sent on an unsupported network, of an unsupported type, or to the wrong address may be permanently lost.
- Blockchain transactions cannot be reversed once confirmed on the network.
- Deposits are subject to the same verification, screening, and compliance checks as any other payment.
- We do not provide investment, tax, or legal advice.
9.Cards
Where available, GlobbaPay cards are issued by a licensed partner under the issuer’s own cardholder terms, which we will present to you before you create a card. Keep your card details secure. If you think they have been compromised, freeze the card in the app and contact us.
10.Business accounts and APIs
- Keep your API keys and webhook signing secrets confidential. Rotate them immediately if they may have been exposed.
- The sandbox environment is for testing only. It does not move real money and must not be used for live customer data.
- If you use the Services to serve your own customers, you are responsible for your relationship with them. This includes giving them the notices and obtaining the consents required by law, and meeting your own regulatory obligations.
- You may not resell or white-label the Services unless we have agreed to this in writing.
- Any additional agreement you accept during business activation supplements these Terms.
Our API documentation describes how the APIs work. We may update or deprecate API features, and we will give reasonable notice of breaking changes where we can.
11.Prohibited use
You must not use the Services to:
- break any law or regulation, including anti-money-laundering, counter-terrorist-financing, sanctions, and tax laws;
- commit or facilitate fraud, scams, or impersonation, or open or use an account on behalf of someone else without authority;
- send or receive the proceeds of crime, or pay for illegal goods or services;
- provide false or misleading information, or documents that are not genuine;
- interfere with, probe, reverse-engineer, scrape, or overload the Services, or get around any security or usage limit; or
- use the Services in a way that could harm GlobbaPay, our partners, or other users.
Where the law requires, we may report suspicious activity to the relevant authorities.
12.Suspension and closure
You can close your account at any time by contacting us. Pending transactions must be completed or cancelled first. We will still keep the records the law requires.
We may suspend, restrict, or close your account, with notice where the law allows, if:
- you breach these Terms;
- we are required to by law, a regulator, or a partner;
- we reasonably suspect fraud, financial crime, or unauthorised use; or
- we cannot verify your identity or information.
When an account is closed, we will return any remaining balance to a verified account in your name, subject to legal and regulatory requirements.
13.Intellectual property
The Services, including our software, APIs, designs, brand, and content, belong to Globba or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services in line with these Terms. If you send us feedback, we may use it without any obligation to you.
14.Availability and changes to the Services
We work to keep the Services available and secure, but we do not guarantee they will always be uninterrupted or error-free. We may need to carry out maintenance or respond to events outside our control. We may change, add, or remove features. Where a change materially affects you, we will give you reasonable notice.
15.Liability
To the extent the law permits, the Services are provided “as is” and “as available”. We are not liable for indirect or consequential loss, loss of profit, or loss caused by events outside our reasonable control, by your breach of these Terms, or by incorrect information you provide.
To the extent the law permits, our total liability to you for any claim relating to the Services is limited to the fees you paid us in the 12 months before the claim arose.
Nothing in these Terms limits any liability that cannot be limited by law, or removes any rights you have under applicable consumer protection law, including the Federal Competition and Consumer Protection Act 2018.
16.Complaints
If something has gone wrong, email hello@globbapay.com with “Complaint” in the subject line. We will acknowledge your complaint, investigate it, and keep you informed until it is resolved. If you are not satisfied with our response, you may be able to escalate your complaint to the partner that provides the service or to the relevant regulator.
17.Changes to these Terms
We may update these Terms from time to time. We will post the updated version on this page with a new “Last updated” date. If a change is material, we will give you reasonable advance notice by email or in the app. If you keep using the Services after a change takes effect, you accept the updated Terms.
18.Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. The courts of the Federal Capital Territory, Abuja, have jurisdiction over any dispute. This does not affect any mandatory consumer rights you have under the laws of the country where you live.
